Please read these Terms of Use (“Terms”, “Terms of Use”) carefully before using the https://rizdex.com website (the “Service”) operated by RIZDEX (“us”, “we”, or “our”).
Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who access or use the Service.
By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms then you may not access the Service. This website is solely for the provision of information and does not constitute an offer to buy or sell any stock, share or any other product mentioned herein. No advice is given or should be inferred.
This website serves only to help clients to make their own investment decisions. Accordingly, it may not be suitable for all users and does not constitute a personal recommendation. The value of investments and the income from them can fall as well as rise and investors may get back less then they originally invested. In the case of higher volatility investments, these may be subject to large or sudden falls in value. Prices cannot be guaranteed.
You agree that you understand that RIZDEX is an information website, and is not a regulated stock market. You understand that no actual share trading occurs on the RIZDEX platform itself. You understand that all RIZDEX does is allow investors to indicate an intention to find a match in various private companies, and assist them in executing a private transaction thereafter. Any individual who is in any doubt about any proposed investment or transaction should consult an authorised person specialising in advising on investments of the kind in question.

Your use of the Service is at your sole risk. The Service is provided on an “AS IS” and “AS AVAILABLE” basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.
When you create an account with us, you must provide us information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service.
You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password, whether your password is with our Service or a third-party service.
You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorised use of your account.
An arrangement fee of 2% of the consideration of each transfer, is charged to the seller and to the buyer, subject to a minimum fee of £50.00 will be payable for each transfer.
Purchases above £1,000 may be subject to 0.5% Stamp Duty. These charges and taxes may change and you will be notified of any changes before you confirm your intention to match. There is no registration fee to become a member/investor. If you wish to place an intention to match, please use the RIZDEX online system (www.UK.RIZDEX.com).
International payments carry a banking fee of £15 plus correspondant banking fees where applicable.
You will not earn interest on balances held with us.

All transactions in unlisted securities will be carried out as Private Transactions between buyer(s) and seller(s). No advice will be given as to the suitability of the investment for you. If you have any doubt as to the suitability of this service, you should consult an authorised financial adviser. Unlisted securities are not traded on a Regulated Market or a Recognised Investment Exchange. The shares are classified as Non-readily Realisable Investment.
Transactions in these shares may be infrequent, the price may fluctuate significantly, there is no standard market price and shares may be illiquid, therefore difficult to buy or sell. There may be a delay between RIZDEX receiving your intention to match and the completion of the arrangement of the trade. This is due to the nature of private transactions. When a match has been made, successful completion is subject to satisfactory settlement of the trade. Whilst every effort is made to complete the matching arrangement, RIZDEX shall not be responsible nor liable if either buyer or seller fails to complete the transaction.
The Service and its original content, features and functionality are and will remain the exclusive property of RIZDEX and its licensors.
Our Service may contain links to third-party web sites or services that are not owned or controlled by RIZDEX.
RIZDEX has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party web sites or services. You further acknowledge and agree that RIZDEX shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such web sites or services.
We strongly advise you to read the terms and conditions and privacy policies of any third-party web sites or services that you visit.
We may terminate or suspend access to our Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service.

Securities and Derivatives markets may be subject to rapid and unexpected price movements and past performance is not necessarily a guide to future performance. Trading in these markets is generally considered to be suitable only for the more experienced investor as it carries a high degree of risk. An investor may not receive back the amount of their original investment and in certain circumstances may be liable for a sum that is greater than their original investment. Tax law is subject to change. If in any doubt, please seek further advice.
RIZDEX accepts no liability to the extent permitted by law, we and our associated companies exclude all conditions, warranties, representations and other terms, whether expressed or implied by statute, common law or otherwise with respect to our site including, without limitation, as to the accuracy or completeness of our site, or whether our site is up to date.
We make no warranty that our site is free from infection by viruses or anything else that has contaminating or destructive properties. We exclude liability for any direct, indirect or consequential loss or damage incurred by any user arising out of, or in connection with, the use or inability to use our site, any websites linked to our site and any material posted on our site, including, without limitation, any liability for loss of income or revenue, loss of business, loss of profits or contracts, loss of anticipated savings, loss of data and loss of goodwill, reputation damage, whether caused by tort including negligence, breach of contract or otherwise, even if foreseeable.
You agree to indemnify us against any and all claims, losses, liabilities, damages and expenses including reasonable legal fees arising out of, or in relation to, your misuse of our site, including, but not limited to, any material uploaded by you to our site.
These Terms shall be governed and construed in accordance with the laws of United Kingdom without regard to its conflict of law provisions.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have between us regarding the Service.
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.

For verifying my identity for the purposes of anti-money laundering, identification and risk mitigation, I, voluntarily provide [Name of the End Usr] (“Service Provider”) and/or GBG Group PLC (“GBG”) with my Personal Data (as defined below) and hereby expressly consent to and authorise the following:
“Personal Data” refers to such data only consist of the following (and shall include any updated data of the following items from time to time):
(a) my full name, including surname, given name and other name;
(b) my Hong Kong Identity Card Number;
(c) my date of birth;
(d) my correspondence address; and
(e) my telephone number.
This consent and authorization is given by me to the Service Provider on its own behalf, and on behalf of, and as agent for, GBG and TransUnion Limited (“TransUnion”) for the following uses of my
Personal Data:
(i) the transfer to TransUnion by the Service Provider, through GBG, of my Personal Data for verification of my Personal Data;
(ii) TransUnion checking if my Personal Data is on the database of TransUnion;
(iii) TransUnion providing the matching result to GBG and the Service Provider, which may or may not be located inside Hong Kong, without having sent me any copy of the result for my review; and
(iv) Retention of the Personal Data for the period necessary. By submitting this data, I understand the above and I give consent to and authorize the Service Provider, GBG and TransUnion to act in accordance with (i) to (iii) above. Further, I agree and acknowledge that the use of my Personal Data for the above by the Service Provider, GBG and TransUnion shall not be made the basis for any complaint, claim, suit, demand or cause of action or other proceeding against the Service Provider, GBG, or TransUnion Limited by me or any third party.
